Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern access to and use of Services provided by Techknowledgey Pte Ltd ("Techknowledgey", "we", "us", "our"). By accessing or using the Services, you agree to these Terms. If you act on behalf of an organization, you represent you have authority to bind it.

2. Eligibility and Account Responsibility

You must provide accurate information, maintain account security, and promptly notify us of unauthorized use. You are responsible for all activity under your credentials.

3. License and Use Restrictions

Subject to these Terms, we grant a limited, revocable, non-exclusive, non-transferable right to use the Services for internal business purposes. You must not:

• Reverse engineer, scrape, copy, or benchmark the Services.
• Bypass security or access controls, or interfere with operation.
• Use Services for unlawful, discriminatory, infringing, or abusive purposes.
• Upload malicious code, exploit vulnerabilities, or attempt unauthorized access.

4. Customer Data and AI Output

You retain rights in data you submit. You grant us and our subprocessors rights needed to host, process, analyze, and transmit that data to operate the Services. AI-generated outputs are probabilistic and may be incomplete or inaccurate; you are solely responsible for validating outputs and decisions.

5. Fees and Suspension

If fees apply, you must pay all charges when due. We may suspend or limit Services for non-payment, legal risk, abuse, security risk, or suspected breach.

6. Intellectual Property

Services, software, models, workflows, documentation, and all related intellectual property remain our property or our licensors' property. No rights are granted except as expressly stated.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, OR ERROR-FREE OPERATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHKNOWLEDGEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO SERVICES WILL NOT EXCEED THE LOWER OF: (A) FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) SGD 100.

9. Indemnity

You will defend, indemnify, and hold harmless Techknowledgey and its affiliates from claims, losses, liabilities, and costs (including legal fees) arising from your use of Services, your data, or your breach of these Terms.

10. Termination

We may suspend or terminate access at any time, with or without notice, including for breach, legal risk, security concerns, or operational reasons. Sections that by nature should survive will survive termination.

11. Governing Law and Venue

These Terms are governed by Singapore law. Exclusive jurisdiction and venue for disputes will be the courts of Singapore, unless applicable law requires otherwise.

12. Changes to Terms

We may modify these Terms at any time. Updated Terms are effective when posted. Continued use after updates constitutes acceptance.
